Please read these Terms of Use carefully before using the Money By The Mile platform. By creating an account or using our Services, you agree to be bound by these Terms.

1. About Money By The Mile

Money By The Mile LLC ("we," "us," or "our") is a Michigan limited liability company that operates the MBM platform at moneybythemile.com (the "Site"). The MBM platform provides workflow and financial management tools for independent truck drivers and owner-operators, including a load analyzer, trip planner, tandem weight tool, earnings dashboard, carrier packet management, and related features (collectively, the "Services").

2. Acceptance of Terms

By accessing the Site, creating an account, or using any Services, you agree to these Terms of Use, our Privacy Policy, our Subscription and Refund Policy, and our Calculations and Estimates Disclaimer (collectively, the "Agreement"). If you do not agree, do not use the Services.

If you use the Services on behalf of a business or other entity, you represent that you have authority to bind that entity to this Agreement, and "you" includes that entity.

3. Eligibility

You must be at least 18 years old to create an account or use the Services. By using the Services, you represent that you meet this requirement.

4. Account Registration and Security

To access most features, you must register for an account and provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at support@moneybythemile.com if you suspect unauthorized access to your account.

We may suspend or terminate your account at any time for violation of this Agreement or for any other reason in our sole discretion.

5. Subscriptions, Fees, and Payment

Access to the MBM platform requires a paid subscription. Subscription plans, pricing, trial terms, renewal terms, cancellation procedures, and refund policy are governed by our Subscription and Refund Policy, which is incorporated into this Agreement by reference.

Free Trial

New subscribers who have not previously started an MBM trial are eligible for a 7-day free trial. A valid payment method is required to begin the trial. If you do not cancel before the trial ends, your payment method will be charged the applicable subscription price and your subscription will automatically renew as described in our Subscription and Refund Policy. Each customer is eligible for one free trial.

Automatic Renewal

Subscriptions renew automatically at the end of each billing period at the then-current price unless you cancel before the renewal date. By subscribing, you authorize us and our payment processor, Stripe, Inc., to charge your payment method on a recurring basis without further authorization until you cancel.

Price Changes

We will provide at least 30 days' advance notice before increasing your subscription price. Notice will be sent to the email address associated with your account and/or displayed on the Site. Where required by applicable law, we will obtain your affirmative consent before a price increase takes effect. Continued use of the Services after a price increase takes effect constitutes acceptance of the new price.

Refunds

Monthly subscription fees are generally nonrefundable. Refund exceptions and the process for requesting a refund are described in our Subscription and Refund Policy.

6. Acceptable Use

You agree not to:

• Use the Services for any unlawful purpose or in violation of any applicable law or regulation;
• Attempt to gain unauthorized access to any part of the Services, our servers, or any system or network connected to the Services;
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Services;
• Scrape, crawl, or use automated means to access or collect data from the Services without our prior written consent;
• Transmit any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable;
• Impersonate any person or entity or misrepresent your affiliation with any person or entity;
• Use the Services in any manner that could damage, disable, overburden, or impair our infrastructure.

7. Intellectual Property

The Services and all content, features, and functionality — including but not limited to software, text, graphics, logos, and data — are owned by Money By The Mile LLC or its licensors and are protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your own internal business purposes during the term of your subscription. No other rights are granted.

You retain ownership of the data you enter into the Services (your load records, trip data, carrier information, and uploaded documents). By using the Services, you grant us a limited license to store, process, and display that data solely to provide the Services to you.

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, MONEY BY THE MILE LLC AND ITS MEMBERS, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, OUR AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THIS AGREEMENT WILL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES YOU PAID TO US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00).

Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, our liability is limited to the maximum extent permitted by law.

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT THE ACCURACY, COMPLETENESS, OR TIMELINESS OF ANY CONTENT OR DATA PROVIDED THROUGH THE SERVICES.

The calculations, estimates, and outputs produced by MBM tools are for planning and estimation purposes only and are not a substitute for professional financial, legal, tax, or accounting advice. See our Calculations and Estimates Disclaimer for full details.

10. Indemnification

You agree to indemnify, defend, and hold harmless Money By The Mile LLC and its members, officers, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to (a) your use of the Services; (b) your violation of this Agreement; (c) your violation of any applicable law or regulation; or (d) your infringement of any third-party right.

11. Third-Party Services

The Services integrate with or link to third-party services, including Stripe, Inc. (payment processing), HERE Technologies (routing and mapping), and Backblaze B2 (backup storage). Your use of those services is subject to their respective terms and privacy policies. We are not responsible for the acts or omissions of any third-party service provider.

12. Privacy

Our collection and use of your personal information is governed by our Privacy Policy, which is incorporated into this Agreement by reference.

13. Termination

Either party may terminate this Agreement at any time. You may terminate by canceling your subscription and deleting your account. We may terminate or suspend your access immediately, without prior notice, for any violation of this Agreement or for any other reason in our sole discretion.

Upon termination, your right to use the Services ceases immediately. Sections 7, 8, 9, 10, 14, and 15 survive termination.

14. Governing Law and Dispute Resolution

This Agreement and any dispute arising out of or relating to it or the Services shall be governed by and construed in accordance with the internal laws of the State of Michigan, without regard to its conflict-of-laws principles. You agree to submit to the exclusive personal jurisdiction of the state and federal courts located in Michigan for the resolution of any dispute arising out of this Agreement or the Services.

Before initiating any formal legal proceeding, you agree to contact us at support@moneybythemile.com and provide a written description of the dispute. We will attempt to resolve the dispute informally within 30 days of receiving your notice.

15. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated by email to the address associated with your account and/or by a notice on the Site at least 30 days before the change takes effect. Your continued use of the Services after the effective date of any change constitutes acceptance of the updated Terms.

16. General

Entire Agreement. This Agreement (including the Privacy Policy, Subscription and Refund Policy, and Calculations and Estimates Disclaimer) constitutes the entire agreement between you and Money By The Mile LLC regarding the Services and supersedes all prior agreements.

Severability. If any provision of this Agreement is found to be unenforceable, the remaining provisions will continue in full force and effect.

Waiver. Our failure to enforce any right or provision of this Agreement will not be deemed a waiver of that right or provision.

Assignment. You may not assign your rights or obligations under this Agreement without our prior written consent. We may assign our rights and obligations without restriction.

No Third-Party Beneficiaries. This Agreement does not create any third-party beneficiary rights.
